Welcome to Health Club Doctor. These Terms of Service ("Terms") govern your use of healthclubdoctor.com (the "Site") and any consulting, advisory, or related services we provide (the "Services"). By using the Site or engaging our Services, you agree to these Terms.
If you do not agree to these Terms, please do not use the Site or engage our Services.

1. Who we are

When you engage HCD for consulting services, the specific scope, deliverables, fees, and timelines will be defined in a separate agreement, statement of work, or service order. These Terms apply in addition to any such agreement and are incorporated by reference.
Our consulting services are advisory in nature. We provide recommendations, analysis, and frameworks based on our experience in the fitness industry. Outcomes depend on factors outside of HCD's control, including your team, market conditions, and execution. HCD does not guarantee specific business results.

4. Intellectual property
All content on the Site, including text, graphics, logos, images, videos, frameworks, methodologies, and software, is the property of HCD or our licensors and is protected by copyright, trademark, and other intellectual property laws.
You may view, download, and print Site content for personal, non-commercial use only. Any other use, including reproduction, modification, distribution, or commercial use, requires our prior written permission.

The "Health Club Doctor" name and logo are trademarks of HCD. Use of our trademarks without written permission is prohibited.

5. User content and feedback
If you submit content to us through forms, surveys, testimonials, or communications (including feedback, suggestions, ideas, or improvements), you grant HCD a non-exclusive, royalty-free, worldwide, perpetual license to use, modify, and display that content in connection with operating our business and improving our Services.

You represent that any content you submit does not infringe the rights of any third party and is accurate to the best of your knowledge.

6. Third-party links and services
The Site may include links to third-party websites or services that we do not own or control. We are not responsible for the content, privacy practices, or terms of any third-party site or service. Your interactions with third-party services are solely between you and that third party.

HCD does not warrant that the Site or Services will meet your specific business goals or that any consulting recommendations will produce particular financial results.

8. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HCD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF HCD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

HCD's total liability for any claim arising from these Terms or use of the Site shall not exceed the amount you paid HCD in the twelve months preceding the claim, or one hundred US dollars ($100.00), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Indemnification
You agree to indemnify, defend, and hold harmless HCD and its principals, employees, contractors, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any third-party right.

10. Termination
We may suspend or terminate your access to the Site or Services at any time, with or without cause, and without notice. Upon termination, your right to use the Site ends immediately. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.
